Terms of Use

The legal agreement between you and OrangeFox LLC governing your access to DataLink APIs.

1. Acceptance of Terms

By creating an account or accessing the DataLink APIs, you enter into a legally binding agreement with OrangeFox LLC ("Company"). If you do not agree to these terms, you must not use the Service.

2. Description of Service

DataLink APIs provides a consolidated gateway for third-party API services. We utilise a primary and fallback provider architecture to maximise reliability across all intelligence bundles.

3. Account Registration

Users must register via supported OAuth providers or email. You are solely responsible for the protection of your login credentials and any API keys generated. OrangeFox LLC is not liable for unauthorised usage resulting from compromised keys.

4. Acceptable Use

You may not use the Service for any illegal activities, unauthorised scraping, or to circumvent the terms of upstream providers. Repeated violations of rate limits may result in permanent bans and forfeiture of payments.

5. Credits & Billing

All billing is conducted in USD by OrangeFox LLC. Monthly credits do not roll over. Additionally purchased top-up credits do roll over, subject to expiration limits defined in our Refund Policy.

6. Service Availability

DataLink APIs targets the uptime commitments defined in our Master Service Level Agreement, which is incorporated into these Terms by reference. Free tier usage is provided on a best-effort basis with no uptime guarantee. The Master SLA may be updated independently of these Terms with 14 days notice.

7. Intellectual Property

OrangeFox LLC retains all rights, title, and interest in the DataLink APIs platform, brand, and underlying technology. Nothing in these Terms grants you any ownership rights in the Service.

8. Limitation of Liability

Financial liability of OrangeFox LLC is strictly limited to the last monthly subscription amount paid by the customer. We are not liable for data inaccuracies or upstream provider failures. In no event shall OrangeFox LLC be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Termination

You may cancel your subscription at any time via your billing dashboard. OrangeFox LLC reserves the right to terminate accounts found in violation of these Terms without notice. Upon termination, your right to access the Service ceases immediately.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any legal action must be brought exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

11. Indemnification

You agree to indemnify, defend, and hold harmless OrangeFox LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the Service caused damage to a third party.

12. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond that party's reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, network infrastructure failures, or simultaneous failure of all designated upstream providers. The affected party shall notify the other as soon as reasonably practicable and shall use commercially reasonable efforts to resume performance.
